Partner Program Terms & Conditions

Applying to join the AutoEntry Partner Programme:
Those who wish to join the programme and become an AutoEntry Partner ('Partner') must contact AutoEntry directly by phone or email to request to join the programme. All requests will be considered at the discretion of AutoEntry, and it is AutoEntry’s right to accept or decline any organisation or individual as an AutoEntry Partner.
Obligations as a Partner:
As an AutoEntry Partner, the Partner agrees to the following ongoing obligations:
- Actively promote AutoEntry to relevant clients ('Clients') whom they deal with.
- Nominate an AutoEntry Champion within your company who will attend AutoEntry webinars.
- Offer Clients value-added services that include AutoEntry.
- Otherwise act in good faith, in the offering and use of AutoEntry for the duration of the Partner Agreement.
Benefits of the Programme:
Once the Partner has been accepted to, and remains part of, the AutoEntry Partner Programme, the Partner will be compensated with all the benefits of the Programme, according to the Partner’s specified Status Level as outlined in the Programme Guide.
Partner Status:
A Partner’s Status within the Partner Programme is determined by the number of Clients subscribed to AutoEntry through the Partner. More information regarding the different Status Levels available for Partners, is explained in the Programme Guide.
For the avoidance of doubt, any decisions by AutoEntry on matters relating to Partner Status (including which Status a Partner qualifies for and the benefits owed), will be final.
Billing:
To qualify and redeem any programme benefits from Clients subscribed through the Partner, the Partner’s own billing account must be paid by the Partner. The individual Clients will handle their own billing, once subscribed. The Partner and Client agree to adhere to the AutoEntry subscription and payment terms set out in AutoEntry’s Terms & Conditions, as updated or amended as necessary.
Discounts and Benefits:
The Client discount is only available the first time that a Client signs up to AutoEntry and so is not applicable to existing AutoEntry users. If the Client cancels their subscription when the discount period ends and then signs up to AutoEntry again at a later date they will not be eligible to claim the discount.
If a Partner's AutoEntry Client chooses to become an AutoEntry Partner at any time throughout the duration of the partnership, the Client is entitled to sign up to the Partner Programme (as a Partner) but would forfeit any Client discount in doing so. In this instance, the Partner Programme Benefits would no longer reside with the Partner who the Client originally subscribed through.
Relationship of Parties:
No agency, joint venture or employment is created between AutoEntry and the Partner as a result of this Partner Agreement. The Partner is not authorised to create any obligation, express or implied, on behalf of AutoEntry.
Termination of Partner Agreements:
This Partner Agreement is effective immediately upon the Partner joining the Programme and remains valid until:
- Either party terminates this Partner Agreement, for any reason, by providing one month’s notice in writing to the other party, or
- Either party terminates this Partner Agreement, with immediate effect upon written notice being provided to the other party, for that other party’s material breach of any of the terms of this Partner Agreement, or
- Superseded by AutoEntry at any time, effective upon the online posting of modified terms (In this event, AutoEntry will endeavour to communicate to the Partner via email or via AutoEntry’s website).
Confidentiality:
You will not at any time or in any manner, either directly or indirectly, divulge, disclose, or communicate any information that is proprietary to AutoEntry. This includes any information, materials or knowledge regarding AutoEntry and its business, products, programming techniques, customers, technology or research that is disclosed to you, or to which you have access to in connection with the Partner Programme. You will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. However, such confidential information will not include information that is, or becomes part of the public domain through no fault of your own. In addition, such confidential information will not include information that you rightfully receive from a third party who has the right to disclose it and who provides it without restriction as to use or disclosure.
Applicability of AutoEntry’s Terms and Conditions:
This Partner Agreement applies in addition to, and should be read in conjunction with, AutoEntry’s Terms and Conditions, which govern matters including liability and intellectual property in relation to the Partner’s dealings with AutoEntry. The Partner acknowledges and agrees that all access (including by Invited Users) to AutoEntry’s services will be subject to AutoEntry’s then current Terms and Conditions as updated or amended from time to time by AutoEntry in its absolute discretion. In the event of any inconsistency between this Partner Agreement and AutoEntry’s Terms and Conditions, AutoEntry’s Terms and Conditions will take priority.
